In using the Service, Users must read the entire text of these Terms and agree to these Terms. Article 1 (Application) These Terms aim to define the terms and conditions of the Service provision and the rights and obligations between the Service Operator and registered users concerning the use of the Service, and shall apply to all relationships between registered users and the Service Operator related to the use of the Service. In the event of any discrepancy between the provisions of these Terms and any explanations, etc., regarding the Service outside these Terms, the provisions of these Terms shall prevail. Article 2 (Definitions) The following terms used in these Terms shall have the meanings ascribed to them below: (1) "Service Terms of Use" means these Terms and the agreement concerning the use of the Service concluded between the Service Operator and a registered user. (2) "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including the rights to obtain such rights or to apply for registration, etc., thereof). (3) "Personal Information" means information that can identify an individual, such as address, name, occupation, telephone number, etc. (4) "Posted Data" means data that a registered user posts or otherwise transmits by using the Service. (5) "Registered User" means an individual or corporation registered as a user of the Service pursuant to Article 3. (6) "The Service" means the service application named 'NIHO' provided by the Service Operator (including the service after such change if the name or content is changed). Article 3 (Registration) A person wishing to use the Service may apply for user registration of the Service by agreeing to comply with these Terms and providing certain information specified by the Service Operator (hereinafter referred to as "Registration Details") to the Service Operator by the method designated by the Service Operator. The applicant represents and warrants to the Service Operator the following: (1) That the facts provided by the applicant in the Service application are complete and accurate. (2) That the use of the Service does not infringe upon any rights of any third party. (3) That the applicant does not have any fraudulent purpose or intent in using the Service. The Service Operator shall determine whether to approve the registration application submitted pursuant to Paragraph 1 based on its own criteria, and shall notify the applicant of its approval. The registration of the applicant as a Registered User shall be deemed completed upon the Service Operator providing the notification set forth in this paragraph. Upon completion of the registration set forth in the preceding paragraph, the Service Terms of Use shall be established between the Registered User and the Service Operator, and the Registered User shall be able to use the Service in accordance with these Terms. The Service Operator may refuse registration or re-registration if the applicant falls under any of the following items, and shall have no obligation to disclose the reason thereof. (1) If any of the Registration Details provided to the Service Operator is false, incorrect, or omitted; (2) If the Service Operator determines that the applicant is an anti-social force, etc. (i.e., gangsters, anti-social forces, or equivalent persons), or is involved in or cooperates with the maintenance, operation, or management of anti-social forces, etc., through funding or other means; (3) If the Service Operator determines that the applicant is a person who has previously violated an agreement with the Service Operator or is related to such a person; (4) If the Service Operator otherwise deems the registration inappropriate. Article 4 (Content and Change of the Service) The content and details of the Service shall be as determined by the Service Operator. The content of the Service may be changed without prior approval from the Registered User. In such cases, the Service Operator will notify the Registered User by a method deemed appropriate by the Service Operator. If no objection is raised within the period specified by the Service Operator, or if the Registered User continues to use the Service, the Registered User shall be deemed to have accepted such changes. The Service Operator shall not be liable for any damage, loss, etc., incurred by the Registered User due to such changes. Article 5 (Terms of Use) The Registered User shall comply with these Terms, guidelines separately established by the Service Operator, notices from the Service Operator, etc. (hereinafter referred to as "these Terms, etc."). Article 6 (Management of Password and User ID) The Registered User shall manage and store the password and user ID for the Service under its own responsibility and shall not allow any third party to use them, or lend, transfer, change the name of, sell, etc., the same. The Registered User shall be responsible for any damage caused by insufficient management of the password or user ID, error in use, use by a third party, etc., and the Service Operator shall not be liable in any way. Article 7 (Term) No specific term is set for the use of the Service. However, if the Registered User commits an act that violates these Terms, the Service Operator may immediately terminate the Service. Article 8 (Fees and Payment Method) The Registered User shall pay the usage fee specified by the Service Operator to the Service Operator as consideration for the use of the Service, by the payment method designated by the Service Operator. If a fee revision occurs in the future, the Service Operator will explicitly notify the Registered User in advance. Article 9 (Cancellation of the Service) The Registered User may request cancellation of the use of the Service by following the procedure prescribed by the Service Operator. The Registered User agrees that the Service Operator shall not refund any economic benefits, such as usage fees received from the Registered User in relation to the use of the Service, for any reason whatsoever. Article 10 (Disclaimer and Limitation of Liability) The Registered User agrees that while the Service Operator will use its best efforts to provide the Service with high quality, it does not guarantee that the Service will always be provided in a perfect state. The Service Operator does not warrant that the Service will be fit for the Registered User's particular purpose, that it will have the functions, commercial value, accuracy, usefulness, etc., expected by the Registered User, that the use of the Service by the Registered User will conform to the laws and regulations applicable to the Registered User or internal rules of industry associations, etc., or that no defects will occur. The Service Operator shall not be liable for any compensation for damages suffered by the Registered User in relation to the Service, including but not limited to interruption, suspension, termination, unavailability, or change of the Service provision, deletion or loss of messages or information sent by the Registered User to the Service, cancellation of the Registered User's registration, loss of registered data or failure or damage to equipment resulting from the use of the Service. The Service Operator shall not be liable in any way for transactions, communications, disputes, etc., arising between the Registered User and other registered users or third parties in connection with the Service. If the Registered User causes damage to a third party through the use of the Service, the Registered User shall resolve the matter at its own responsibility and expense and shall not cause any damage to the Service Operator. The provisions of this Article shall remain in effect even after the expiration of the effective period of these Terms. Article 11 (Ownership of Rights) All Intellectual Property Rights related to the Service belong to the Service Operator or persons who have licensed the Service Operator, and the license to use the Service based on these Terms does not imply a license to use the Intellectual Property Rights of the Service Operator or persons who have licensed the Service Operator with respect to the Service Operator's website and the Service. The Registered User represents and warrants to the Service Operator that it has the legal right to post or otherwise transmit the Posted Data and that the Posted Data does not infringe any third-party rights. Regarding the content of Posted Data sent by each Registered User to the Service that is protected by Intellectual Property Rights, the copyright shall belong to the respective Registered User. However, within the scope necessary for the smooth operation of the Service, the Registered User grants the Service Operator a comprehensive, non-exclusive, and royalty-free license to use the Posted Data (including for creating thumbnails, etc.) and agrees not to exercise moral rights. Article 12 (Termination of the Service, etc.) The Service Operator may, without any notice or demand, suspend or stop the provision of the Service, or terminate the Service by notice without a demand, if it determines that the Registered User falls under any of the following items. In such cases, the Service Operator shall not be liable for any damage, loss, etc., incurred by the Registered User due to such suspension, stoppage, or termination. (1) If the Registered User violates these Terms; (2) If there is falsehood in the description or representation concerning the application; or if the Registered User provided significantly misleading information or concealed important information in the Service application; (3) If the Registered User violates Japanese or other countries' laws and regulations in relation to the Service application or use; (4) If the Registered User slanders or defames a third party, discloses a third party's personal or confidential information without their consent, causes emotional distress to a third party, or infringes upon a third party's trademark rights, copyrights, other intellectual property rights, or other rights; (5) If the Registered User defaults on the payment of usage fees for paid content, etc.; (6) If there is an act that intentionally damages the evaluation or credibility of the Service; (7) If the Service Operator otherwise deems it difficult to continue providing the Service. Article 13 (Suspension, etc. of the Service) The Service Operator may, without any notice or demand, suspend or stop the provision of the Service for a necessary period if any of the following items apply. In such cases, the Service Operator shall not be liable for any damage, loss, etc., incurred by the Registered User due to such suspension or stoppage, except as provided in these Terms, etc. (1) When performing periodic or emergency inspections or maintenance work on the system related to the Service; (2) When computers, communication lines, etc., stop due to an accident; (3) When the operation of the Service becomes impossible due to force majeure such as fire, power outage, natural disaster, spread of disease, etc.; (4) When the Service Operator otherwise deems it necessary to suspend or stop the Service. Article 14 (Handling of User Information) The Service Operator may use the Registered User's user information for the purposes listed in the following items, and the Registered User consents to the Service Operator handling user information. (1) For identity verification, service provision, maintenance, protection, and improvement related to the Service; (2) For providing information and responding to inquiries, etc., regarding the Service; (3) For responding to acts that violate the Service Operator's terms and conditions, etc., related to the Service; (4) For notifying changes to the terms and conditions, etc., related to the Service; (5) For purposes incidental to the above purposes of use. The Service Operator may use and disclose information, Posted Data, etc., provided by the Registered User to the Service Operator as statistical information in a form that cannot identify individuals, at its discretion, and the Registered User shall not raise any objection to this. Article 15 (Personal Information Management) The Service Operator will endeavor to keep Personal Information accurate and up-to-date to the extent necessary for the operation of the Service. The Service Operator shall take necessary and appropriate measures to prevent the leakage, loss, etc., of Personal Information and for the safe management of Personal Information. If the Service Operator entrusts all or part of the handling of Personal Information to a party other than the Service Operator, it shall specify the measures to be taken by the trustee regarding the safe management of Personal Information in the entrustment agreement and exercise necessary and appropriate supervision over the trustee. The Service Operator shall not provide Personal Information to any third party without the prior consent of the Registered User, except in the following cases: (1) When based on laws and regulations; (2) When the Service Operator determines it is necessary to protect the life, body, or property of a third party; (3) When particularly necessary for the improvement of public health; (4) When it is necessary to cooperate with a public institution or a person entrusted by it in performing affairs prescribed by laws and regulations, and obtaining the consent of the individual is likely to impede the performance of such affairs. Article 16 (Amendment of these Terms, etc.) The Service Operator may amend these Terms. If the Service Operator amends these Terms, it shall notify the Registered User of such amendments, and if the Registered User uses the Service after such notification or does not take procedures for cancellation of registration within the period specified by the Service Operator, the Registered User shall be deemed to have agreed to the amendments to these Terms. Article 17 (Notification of Change) The Registered User shall promptly notify the Service Operator of any changes to the information provided at the time of application, such as applicant name, address, telephone number, email address, etc. The Service Operator may request the Registered User to submit documents proving the fact of the notification set forth in the preceding paragraph. If the notification under Paragraph 1 is not made, the Service Operator shall be deemed to have sufficiently notified the Registered User by sending the notification to the contact information initially provided by the Registered User, and even if such notification does not reach the Registered User, it shall be deemed to have reached the Registered User at the time it was sent. Article 18 (Prohibition of Assignment) The Registered User may not assign its status under these Terms or any rights or obligations regarding the Service to any third party, except with the prior consent of the Service Operator. Article 19 (Compensation for Damages) The Service Operator shall compensate the Registered User for damages incurred by the Registered User due to the Service Operator's willful misconduct or gross negligence in providing the Service. However, the Service Operator shall be exempt from liability for any indirect damages or damages arising from special circumstances, regardless of foreseeability, and the scope of compensation shall be limited to ordinary damages actually incurred. Furthermore, the amount of compensation for which the Service Operator is liable shall be limited to the lower of the usage fees paid by the Registered User in the past 30 days related to the contract involving the case where the damage occurred or 30,000 yen. If the Registered User violates these Terms, etc., or causes damage to the Service Operator in connection with the use of the Service, the Registered User shall be liable to compensate the Service Operator for such damages immediately. Article 20 (Exclusion of Anti-Social Forces) The Registered User represents and warrants to the Service Operator that it and its business partners are not anti-social forces (i.e., gangsters, gangster-related companies, sokaiya, special intellectual violent groups, members thereof, or other equivalent persons) and have no relationship with anti-social forces whatsoever. If the Registered User violates the preceding paragraph, the Service Operator may terminate the Service immediately without any demand. The Service Operator shall have no obligation to refund any usage fees received due to such termination, and the Service Operator shall not be liable for any damage or disadvantage incurred by the Registered User. Article 21 (Principle of Good Faith) If any doubt arises regarding these Terms, etc., the Registered User and the Service Operator shall resolve it through mutual consultation in accordance with the principle of good faith. Article 22 (Governing Law) The governing law regarding the validity, performance, and interpretation of these Terms shall be the laws of Japan. Article 23 (Agreed Jurisdiction) Any and all disputes or lawsuits arising from or relating to these Terms, etc., shall be subject to the exclusive agreement jurisdiction of the court having jurisdiction over the location of the Service Operator's head office for the first instance. Supplementary Provisions This Policy shall be applied from November 1, 2025. Established on November 1, 2025.
